Terms of Service

Acceptance of Terms

By registering for, accessing, or using the LeadTime platform ("LeadTime", "Service", "we", "our", or "us"), you ("User", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Anouk Solutions (Pty) Ltd, the company operating LeadTime.

Description of Service

LeadTime is a business notification platform that enables registered users to send automated messages to their clients and contacts via email, SMS, and WhatsApp. The Service includes account management, a business profile, a messaging dashboard, an Analytics page (charts, KPIs, a filterable message log, CSV/Excel export of your own message history, and a PDF export of the charts and KPI summary), subscription management, an inbound WhatsApp inbox, in-app and browser push notifications, an onboarding tour, reusable contact lists, a blocked/suppressed contacts list, and related features. Message scheduling and support for more than one business profile per account are available on the Standard tier and above; Team management (inviting other people to use your account with restricted, per-page access) is available on the Premium tier (see Sections 5.2 and 5.13). Three further optional add-ons — invoicing, an AI-powered inbox reply assistant, and API access for your own systems — are available on request and are not included in any subscription tier by default (see Sections 5.10, 5.11, and 5.12).

Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract under South African law to use LeadTime. By creating an account, you confirm that you meet these requirements. The Service is intended for business use; you represent that you are using it for lawful business purposes.

Account Registration

You must register for an account to access the Service. You agree to:

  • Provide accurate and complete registration information.
  • Keep your login credentials confidential and not share them with third parties.
  • Notify us immediately if you suspect any unauthorised access to your account.
  • Take responsibility for all activity that occurs under your account.

During registration, you may optionally enter a referral code provided by an authorised LeadTime representative. Referral codes are assigned to specific sales partners and must not be shared, fabricated, or used without authorisation. We reserve the right to remove or disregard referral codes that we determine have been misused.

Your account includes one business profile by default. Standard subscribers may create and switch between multiple business profiles, each with its own name, contact details, and messaging configuration (such as a connected WhatsApp number or email sending domain). You are responsible for the accuracy of the information in each business profile you create and for any messages sent under it.

We reserve the right to suspend or terminate accounts that provide false information or that are used in breach of these Terms.

Subscription and Payment

5.1 Free Trial

New accounts receive a 7-day free trial with full access to the Service. No payment is required during the trial period. At the end of the trial, access to certain features (including bulk messaging) will be restricted unless you subscribe to a paid plan.

5.2 Paid Subscription and Tiers

Continued use of the Service beyond the free trial requires a paid subscription. LeadTime currently offers three subscription tiers:

  • Basic — includes bulk message generation and sending via WhatsApp, SMS, and email, with a single business profile, and 1 month of Analytics history.
  • Standard — includes everything in Basic, plus message scheduling (the ability to queue messages for delivery at a future date and time), the ability to create and manage multiple business profiles on one account, and 12 months of Analytics history.
  • Premium — includes everything in Standard, plus Team management: inviting other people to use your account, and choosing exactly which pages each person can access, without them needing a subscription of their own; and 24 months of Analytics history.

"Analytics history" refers to how long your message log and related delivery/read/reply data are retained before automatic deletion — see our Privacy Policy's Data Retention section for details.

Subscription fees are charged on the basis published on the pricing and subscribe pages at the time of purchase. Each tier may be billed on a monthly or an annual (yearly) cycle, at your choice; the applicable rate for each cycle is shown on the Subscribe page at the time you subscribe. All prices are in United States Dollars (USD) unless otherwise stated; any local currency figure shown (including South African Rand) is an approximate conversion for reference only and is not the amount actually billed. We may introduce, modify, rename, or discontinue subscription tiers, billing cycles, and their included features from time to time, with notice provided in accordance with Section 13.

5.3 Message Scheduling

Message scheduling is available exclusively to Standard subscribers and above. Scheduled messages are queued and dispatched automatically at the date and time you select; you remain solely responsible for the content and accuracy of scheduled messages at the time they are sent, including where circumstances have changed since scheduling. You may cancel a scheduled message before its dispatch time via the platform. Credits or usage fees applicable to a scheduled message are deducted at the time the message is actually sent, not at the time it is scheduled.

5.4 Credits

SMS messages are sent using credits, which may be purchased separately. Credits are non-refundable, non-transferable, and expire in accordance with the terms applicable at the time of purchase. Any unused credits remaining at the time your account is deleted are forfeited and will not be refunded. WhatsApp and email messages do not use LeadTime credits; where you connect your own WhatsApp Business Account, Meta bills you directly for WhatsApp usage in accordance with Meta's own pricing.

5.5 WhatsApp Messaging

Where you connect your own WhatsApp Business Account, outbound WhatsApp messages sent through the Service either use free-form text (only permitted by Meta within a 24-hour window following a message from your customer) or a Message Template you have had approved by Meta. Approved templates require fixed wording with numbered variables (such as a customer's name, order number, or estimated delivery date), may include an image header, and, where configured, interactive buttons (Quick Reply, Visit Website, Call Phone Number, or Copy Offer Code); you are responsible for the accuracy of the values supplied for those variables, the image used in an image header, the destinations of any button links or phone numbers, the offer code supplied for a Copy Offer Code button, and for ensuring your use of templates complies with Meta's WhatsApp Business Messaging Policy. The Service also lets you build and send Authentication-category (one-time verification code) templates; you are solely responsible for how any verification code sent through the Service is generated, validated, and used within your own systems. Where the Service provides an inbound WhatsApp inbox, messages your customers send to your connected WhatsApp number are received, stored, and displayed to you within the Service so you can view and reply to them; see our Privacy Policy for how this data is handled.

5.6 Payment Processing

Payments are processed by PayPal. By completing a payment, you agree to PayPal's terms of service and privacy policy. We do not store your payment card details.

5.7 Refunds

We do not offer refunds on subscription fees or purchased credits except where required by applicable South African consumer protection law. If you believe a charge has been made in error, please contact us promptly at the details in Section 15.

5.8 Cancellation

You may cancel your subscription at any time from the Account Settings page, choosing between two options:

  • Cancel at the end of the billing period — no further charges will be made, and you retain access to the Service for the remainder of the period you have already paid for.
  • Cancel immediately — your access to the Service ends straight away.

In both cases, cancellation stops all future billing. Cancelling does not entitle you to a refund of any amount already paid for the current billing period, whichever option you choose.

5.9 Image Uploads

The Service allows you to upload images (for example, to attach to a WhatsApp message) using the Uploads feature. You are solely responsible for the images you upload, and you represent and warrant that you have the legal right, and any necessary consent from the individuals depicted, to upload and send each image — including images of identity documents or other sensitive material. You must not upload content that is unlawful, infringes a third party's rights, or violates Meta's WhatsApp Business Messaging Policy. Uploaded images are stored as described in our Privacy Policy and are deleted when you delete your account.

5.10 Invoicing Add-On

Invoicing is an optional add-on, not included in any subscription tier by default, that is enabled for your account on request and subject to our approval. Where enabled, it is billed at a fixed additional amount on top of your current subscription tier's price, charged alongside your regular subscription billing, and lets you create and send quotes and tax invoices, record payments, issue credit notes, and set up recurring invoices. You can also generate a unique, unauthenticated link for a specific invoice or quote so it can be shared with and viewed by a client without that client needing a LeadTime account. Anyone with the link can view the document it points to; you are solely responsible for sharing invoice/quote links only with their intended recipient and for the consequences of a link being forwarded or otherwise disclosed to someone else. Invoice and quote numbering, once an invoice or quote is finalized, is sequential and permanent and cannot be edited — corrections to a finalized invoice must be made using a credit note.

5.11 AI Assistant Add-On

The AI Assistant is an optional, separately-priced add-on that is not included in any subscription tier by default and is not self-service — it is enabled for your account on request and subject to our approval. Where enabled, it is billed at a fixed additional amount on top of your current subscription tier's price, charged alongside your regular subscription billing. The AI Assistant uses a third-party AI model to generate draft replies to your incoming messages and, if you choose to upload reference documents to its Knowledge Base, to ground those replies in content you supply. You are solely responsible for reviewing any AI-generated draft before it is sent to a customer. If you enable the Auto-send option, replies generated by the AI Assistant are sent to your customers automatically without your review, and you accept full responsibility for the content, accuracy, and consequences of any message sent this way, to the same extent as if you had written and sent it yourself. Every reply sent this way is marked with a visible reaction on the message disclosing to the recipient that it was AI-generated; a draft you review and send yourself is not. You are solely responsible for the content of any document you upload to the Knowledge Base, including ensuring you have the right to use and share that content. We do not guarantee the accuracy, appropriateness, or completeness of AI-generated content, and disclaim liability for it to the fullest extent permitted by law, consistent with Section 10 (Limitation of Liability).

5.12 API Access Add-On

API Access is an optional add-on, not included in any subscription tier by default, that is enabled for your account on request and subject to our approval. Where enabled, it lets your own systems connect to LeadTime programmatically using an API key issued to your account. You are solely responsible for keeping your API key confidential and secure, for all activity performed using it, and for the behavior of any system or integration you connect through it. You must notify us promptly if you believe your API key has been compromised so we can revoke and reissue it. We may suspend or revoke API access, including for suspected misuse, without affecting the rest of your subscription.

5.13 Team Management

Team management is included with the Premium tier. It lets you (the "Account Owner") invite other individuals ("Team Members") to access your account using their own login credentials, with access restricted to the specific pages you grant — every page except Account Settings. A Team Member does not need a subscription, credits, or a WhatsApp/email connection of their own for any page you grant them; usage under their login is billed to and counts against your account exactly as if you had performed it yourself, including SMS credits, WhatsApp conversation charges billed by Meta, and any applicable rate or usage limit. You are responsible for a Team Member's use of the Service to the same extent as your own, including their compliance with these Terms, and for revoking their access promptly when it is no longer appropriate (e.g. they leave your organisation). Bulk Messaging and Invoicing access granted to a Team Member additionally depend on your own account continuing to qualify for each (an active subscription/trial for Bulk Messaging, the Invoicing add-on for Invoices) — if your own qualification lapses, so does any access you had granted through it. Analytics, message history, and related account data are shared across everyone with access to a given business — an Account Owner and their Team Members see the same data, not separate individual views.

Acceptable Use

You agree to use LeadTime only for lawful purposes and in accordance with these Terms. You must not:

  • Send unsolicited bulk messages (spam) to recipients who have not consented to receive communications from you.
  • Send messages that are misleading, fraudulent, harassing, abusive, defamatory, or illegal.
  • Use the Service to distribute malware, phishing content, or any harmful material.
  • Attempt to gain unauthorised access to our systems or interfere with the operation of the Service.
  • Resell, sublicense, or otherwise commercialise access to the Service without our written consent.
  • Use the Service in any way that violates the rules or policies of our messaging providers (including Mailgun and Twilio) or the applicable telecommunications regulations.
Violation of this section may result in immediate account suspension and may be referred to the relevant authorities.

Recipient Data and Messaging Compliance

By uploading, importing, or otherwise providing contact information to LeadTime — including any spreadsheet of recipients you upload for bulk messaging — you represent and warrant that each contact has given you their consent (opt-in) to receive messages from you via the channel(s) you use to contact them (email, SMS, and/or WhatsApp), and that you have the legal right to share their contact information with LeadTime for that purpose. You are solely responsible for ensuring that:

  • You have obtained the necessary consent from all recipients before sending them messages via LeadTime, in accordance with POPIA, the Electronic Communications and Transactions Act, Meta's WhatsApp Business Messaging Policy (where you send via WhatsApp), and any other applicable legislation.
  • The content of your messages complies with all applicable laws and does not infringe the rights of any third party.
  • You honour any opt-out or unsubscribe requests received from recipients promptly. A recipient who replies "stop" to a WhatsApp message is added to your blocked contacts list automatically and excluded from future sends; you may also add a contact to this list yourself at any time.

LeadTime acts as an operator processing recipient data on your behalf. You remain the responsible party for the recipient contact information you upload or provide to the platform, and for the accuracy of the consent representation above. Our handling of that data is governed by our Privacy Policy.

Intellectual Property

All rights, title, and interest in and to the LeadTime platform, including its software, design, trademarks, and content, are owned by or licensed to Anouk Solutions (Pty) Ltd. Nothing in these Terms grants you any rights in the platform other than a limited, non-exclusive, non-transferable licence to use the Service for your own business purposes as permitted by these Terms.

You retain ownership of any content or data you submit to the Service. By submitting such content, you grant us a limited licence to process and transmit it solely for the purpose of providing the Service to you.

Suspension and Termination

9.1 By You

You may permanently delete your account at any time via the Account Settings page within the platform, or by contacting us at the details in Section 15. Account deletion is only available if you do not have an active paid subscription. To delete your account while subscribed, you must first cancel your subscription and then proceed with account deletion.

Upon deletion, all account data — including all business profiles, message history, any pending scheduled messages, and any remaining credits — is permanently and immediately removed from our systems. This action is irreversible. Closing your account does not entitle you to a refund of any fees or unused credits.

9.2 By Us

We may suspend or terminate your account with immediate effect if:

  • You breach any provision of these Terms.
  • We are required to do so by law or a regulatory authority.
  • We reasonably suspect fraudulent, abusive, or illegal activity on your account.

We may also terminate the Service (in whole or in part) at any time on reasonable notice to you where we decide to discontinue the platform.

9.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We may delete your account data in accordance with our Privacy Policy. Sections 7, 8, 10, 11, and 12 of these Terms survive termination.

Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by applicable law. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

To the maximum extent permitted by law, LeadTime and Anouk Solutions (Pty) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising under or related to these Terms shall not exceed the amount you paid to us in the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes our liability for fraud, gross negligence, or any liability that cannot be excluded under South African law, including the Consumer Protection Act, 68 of 2008 where applicable.

Indemnity

You agree to indemnify, defend, and hold harmless Anouk Solutions (Pty) Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of or access to the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including the rights of message recipients.
  • Any content or data you transmit through the Service.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of South Africa, and you consent to such jurisdiction.

Before commencing any legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at the details provided in Section 15, giving us a reasonable opportunity to address your concern.

Changes to These Terms

We may update these Terms from time to time. When we do, we will notify you by email and update the effective date at the top of this document. Your continued use of the Service after receiving such notice constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed from the remaining Terms, which shall continue in full force and effect.
